Terms of Service
Short version. You are using tools, not advice. SPONDL surfaces conditions and alerts you; you make every trade decision. The free open-source kit and The Quiet Letter cost nothing. If you take a paid SPONDL tier, we refund within 14 days for the current period. Our total liability is capped at what you paid us in the previous 30 days. Disputes are governed by Ontario, Canada law. Read the rest if you need the detail.
1. Who these terms apply to
These terms ("Terms") are the contract between you ("you") and Quiet Edge Labs ("we", "us"). They apply when you visit quietedgelabs.com, subscribe to The Quiet Letter, or download, run, or subscribe to the SPONDL scanner.
By using any of the above, you agree to these Terms. If you don't agree, don't use the products.
2. What you are using
Quiet Edge Labs publishes two things:
- SPONDL scanner — self-hosted software (Python, runs on your machine) that scores crypto tokens across six layers and alerts you on Telegram when one crosses a threshold. The kit is open-source and free; a paid tier, where offered, adds extended data and updates. SPONDL is the flagship.
- The Quiet Letter — a free email newsletter on quantitative trading research and the work of the lab.
3. What you are NOT buying
- You are not buying investment advice. We are not a registered investment adviser, broker-dealer, futures commission merchant, commodity trading advisor, or financial planner in any jurisdiction.
- You are not buying trade signals. The tools observe conditions; they do not tell you to buy or sell anything.
- You are not buying recommendations for specific tokens, coins, stocks, or any other security. We do not name what to buy. Ever.
- You are not buying predictions. Scoring is backward-looking measurement. Past patterns do not predict future outcomes.
- You are not buying a guarantee of profit. Trading involves risk. You can lose every dollar you commit and more. Most people lose money. Use the tools at your own risk and inside risk you can absorb.
If any communication from us looks like a recommendation, signal, or guarantee, it is not. The Terms govern; informal language in marketing copy or community channels does not override this section.
For Australian users. The information and tools we publish are general in nature and do not take into account your personal financial situation, needs, or objectives. Before making any financial decision, consider whether it is appropriate for you and seek independent advice if you need it.
For EU residents. Quiet Edge Labs is not a Crypto-Asset Service Provider (CASP) as defined under MiCA (Regulation (EU) 2023/1114). The tools are software instruments, not advisory, custody, or execution services. We do not give advice on specific crypto-assets and we do not transact on your behalf.
4. Acceptable use
You may use the tools for lawful trading and education. You may not:
- Resell, sublicense, or rebrand the SPONDL kit. The open-source kit is MIT-licensed at the source-code level (see the LICENSE file in the repo); paid-tier extensions are not.
- Reverse-engineer any licensing or signing logic to mint your own access tokens.
- Use the tools to harass, defraud, or harm other traders.
- Use the tools to violate the rules of your broker, your prop firm, your exchange, or any applicable law in your jurisdiction.
If you breach this section, we may terminate your access without refund.
5. Payments and refunds
The open-source SPONDL kit and The Quiet Letter are free — there is nothing to pay and nothing to refund; unsubscribe or stop using them at any time.
If you take a paid SPONDL tier, we accept payment exclusively in USDT (TRC20). You send to our published wallet address, then submit the transaction hash via our Telegram bot or the on-site verification form. A Cloudflare Worker queries the TRON blockchain (via TronGrid) to confirm the transaction. We do not accept card payments. We do not handle, store, or share your wallet details beyond the transaction hash you submit.
Refund policy (paid SPONDL tier): full refund within 14 days, no questions, for the current billing period. After 14 days, you can cancel for the next cycle but the current period is not refunded. Refunds are issued in USDT to the wallet address you specify. Email support@quietedgelabs.com from the address you signed up with.
6. License terms (what we grant you)
- SPONDL scanner, open-source kit — MIT-licensed at the source level (see the public repository). You may fork, modify, and use it for personal trading. You may not rebrand-and-resell.
- SPONDL scanner, paid tier — where offered, a personal, non-exclusive, non-transferable license for the period your subscription is active, including updates pushed during that window. The paid-tier source remains our intellectual property.
7. Intellectual property
Quiet Edge Labs owns the brand, the logo, the SPONDL framework and scanner source (in its original published form), the newsletter copy, and the website. Open-source components are governed by their own licenses (the MIT LICENSE in the public repository).
You own anything you input into the tools (your watchlists, your trade journals, your scoring weights, your annotations). We do not claim a license to your inputs.
8. Disclaimers — "AS IS"
The products are provided "AS IS" and "AS AVAILABLE". We make no representations or warranties of any kind, express or implied, regarding the products, including without limitation: merchantability, fitness for a particular purpose, accuracy, completeness, reliability, suitability for trading any specific instrument, or non-infringement.
Trading carries substantial risk of loss. Historical performance is not indicative of future results. You assume full responsibility for your trading decisions and outcomes.
9. Limitation of liability
To the maximum extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of the products is limited to the amount you paid us in the thirty (30) days immediately preceding the event that gave rise to the claim.
In no event will we be liable for: lost profits, lost trading opportunities, lost capital due to trading decisions you made, indirect, special, incidental, consequential, exemplary, or punitive damages — even if we were advised of the possibility of such damages.
If you are in a jurisdiction that does not permit the exclusion or limitation of certain damages, the limitations above will apply to the maximum extent permitted in that jurisdiction.
10. Indemnity
You agree to indemnify and hold us harmless from any claim by a third party arising out of your breach of these Terms, your unlawful use of the products, or your trading activity. We will likewise indemnify you against any claim that the products as published infringe a third party's intellectual property rights, capped at the limitation in Section 9.
11. Term and termination
These Terms apply from the moment you first use the products until you stop using them. We may terminate your access for breach of Section 4 (Acceptable Use). You may stop using the products at any time. Sections 3, 5 (for outstanding obligations), 7, 8, 9, and 14 survive termination.
12. Changes to these Terms
We may revise these Terms. Material changes (a new limitation, a change to refunds, a change to governing law) will be announced in the Sunday newsletter at least once before they take effect. The "Last updated" date at the top of this page is the canonical timestamp.
13. Force majeure
We are not liable for failures caused by events beyond our reasonable control: internet outages, cloud provider or third-party API outages (Cloudflare, MailerLite, Telegram, GitHub, and — for any paid tier — TronGrid), regulator-mandated suspensions, natural disasters, war, or pandemic. We will resume service as soon as reasonably possible.
14. Governing law, geographic restrictions, and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. The exclusive jurisdiction for any dispute is the courts of Toronto, Ontario, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Geographic restrictions. Any paid SPONDL tier priced or denominated in crypto-assets is not offered to residents of the United Kingdom, in compliance with the UK Financial Conduct Authority's financial-promotion regime under FSMA 2000 and Policy Statement PS23/6. If you are a UK resident, do not purchase a paid tier. Any purported purchase will be void and refunded in full to the wallet you specify. (The free open-source kit and The Quiet Letter carry no such restriction.)
If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction with mandatory consumer-protection law, this clause does not deprive you of protections that cannot be waived under your local law.
15. Entire agreement and severability
These Terms together with the Privacy Policy constitute the entire agreement between you and us regarding the products. If any provision is held unenforceable, the remainder remains in effect.
